Here you will find the general Terms and Conditions that apply to Noordersound's products and services. This trade name is registered with the Chamber of Commerce in Rotterdam.
1. Liability
1) Noordersound's liability only includes the agreed work and the products and services resulting therefrom. Noordersound is not liable for any backups of online media or changes thereto outside the period as described in the Delivery Conditions.
2) If Noordersound (or a person employed by) causes damage to a third party during the execution of the agreement, Noordersound will be obliged to compensate this damage either to the third party or to the user (BW art. 6:236 sub h).
3) Requested or prepared quotations are non-binding and without obligation, unless otherwise agreed, for a period of 14 days. After that, it is binding unless otherwise agreed.
4) After delivery of services and products, the Liability ends.
2. Retention of Title.
1) The retention of title on the delivered products or services ends after all outstanding invoices and amounts have been paid. This does not apply to copyrighted material as referred to in Aw Art. 1 and Aw Art. 25.
3. Terms of delivery
1) The standard delivery of sound and image material is in digital form via a secure account on a cloud service. If necessary, this data will be shared with the other party at the start, in the interim or upon delivery of the material. The other party then has 30 days to download these materials before the account is closed and deleted. After that, there may be costs associated with restoring the account and data.
2) Other forms of delivery on image and/or sound carriers are possible on request. Delivery can also take place on image and/or sound carriers or other external media to be supplied from the other party. Additional costs may be involved to make products and services suitable for this in all cases.
3) Delivery can be suspended if one or more payment conditions are not met.
4. Payment terms and collection
1) For projects with a financial obligation of 1000 euros or more, a mandatory down payment of 40 percent of the budgeted amount applies. Customizations delivered under 1000 euros are subject to a 25 percent deposit. Deposits must be made before the first production day. Due to the size of the project or expected costs for Noordersound, it is possible to deviate from this in all cases. See article 5 paragraph 2 in these General Terms and Conditions about the possible suspension of this obligation.
2) For companies and private individuals, a payment term of 30 days after invoicing applies. The Payment Terms Act applies to this.
For private individuals, a delay of payment of 14 days can be made without additional extrajudicial collection costs. Noordersound is only obliged to send a reminder for consumers.
This period does not apply to companies and extrajudicial collection costs will be recovered after the first payment term has expired.
If the other party pays the invoice after 30 days, statutory commercial interest is due by operation of law over the period that exceeds the 30 days. The statutory interest can be found here at the central government.
Large companies cannot agree a payment term longer than 60 days.
Agreements with payment terms of longer than 60 days will be declared null and void. The payment term is automatically converted into a payment term of 30 days.
3) The collection costs to be claimed initially (consisting of a percentage of the principal sum) can be found here and at the judiciary.
5. Termination of the agreement
1) Noordersound reserves the right to dissolve the agreement at all times.
2) The other party has the authority to suspend (postpone) compliance with the terms and conditions before accepting the offer.
3) The other party has the authority to dissolve the agreement without additional costs before the acceptance of the offer or before the receipt of the goods or services to be delivered.
4) If the other party terminates the agreement after the acceptance of the quotation and for the delivery of the first service or product, cancellation costs amounting to 25% (excluding VAT) of the accepted quotation will be charged.
